Refund Policy

This Refund Policy ("Policy") describes the limited circumstances in which Nxera Digital LLC ("Nxera," "we," "us") will issue refunds for amounts paid by Clients ("you," "your") for the Services. This Policy is incorporated into, and forms a binding part of, the Nxera Terms of Service. Capitalized terms not defined here have the meanings given in the Terms.

SHORT VERSION: Nxera offers two tracks. Free track: apply, get approved, free build, then the subscription begins when you click "Activate." Paid track: pay $799 up front for an instant build that includes the build, custom domain, and first month of management; subscription billing begins on day 31 after Activation. Every subscription includes a 7-day money-back guarantee on the first $199 monthly fee: cancel within 7 days through your portal and we will refund the first monthly fee in full. The $799 paid-track build fee is non-refundable. After the 7-day window, you commit to a 3-month minimum term and monthly fees are non-refundable. After the 3 months, the subscription continues month-to-month and you can cancel at any time. Refunds are issued only in the narrow circumstances listed in Section 5 of this Policy.


1. Build, Activation, and 7-Day Money-Back Guarantee

1.1 Two Tracks

Nxera offers the website build through two tracks:

(a) Free track. Approved Clients receive the website build at no upfront charge. There is no charge before Activation. Subscription billing begins on the day of Activation.

(b) Paid track ($799 instant build). Clients who pay the $799 instant-build fee skip the application queue. The $799 covers the custom-built website, custom domain registration, and the first month of management included with the build investment. Subscription billing at $199 per month begins on day 31 after Activation.

1.2 No Charge Before Activation (Free Track)

For free-track Clients, the website remains in preview state at no charge until you click "Activate" in the client portal. No subscription charge is billed before Activation. You may decline to activate at any time and owe nothing.

1.3 7-Day Money-Back Guarantee (Subscription Fees)

For seven (7) calendar days following Activation (the "Money-Back Window"), you may cancel the subscription and receive a full refund of the first monthly subscription fee. For paid-track Clients, the Money-Back Window applies to the first $199 monthly fee that bills on day 31 (i.e., the 7-day window runs from day 31 through day 37 after Activation), not to the $799 build fee. To exercise this right, submit a written cancellation request via the client portal cancellation page or by emailing info@getnxera.com from the email address on file with subject line "Cancel Subscription," in either case received by Nxera before 11:59 PM Eastern Time on the seventh (7th) calendar day after the applicable Money-Back Window starts. Nxera will issue the refund within fourteen (14) business days of receipt and will deactivate the hosted website. The Money-Back Window does not apply to (i) the $799 paid-track build fee; (ii) postcard overage charges or revision fees that have been incurred and billed; (iii) any subsequent monthly cycle once it has begun; (iv) any subscription that has previously been cancelled and reactivated.

1.4 After the Money-Back Window

If you do not cancel within the Money-Back Window, the subscription continues at the agreed monthly fee, and the three-month Initial Term in Section 5 of the Terms applies.

1.5 Paid-Track $799 Build Fee Is Non-Refundable

The $799 paid-track build fee is non-refundable. It is earned upon reservation of the build slot and covers the custom build, custom domain registration, and the first month of management included with the investment. The $799 is not severable from those deliverables and may not be refunded, partially refunded, or credited toward future months regardless of whether you proceed to Activation, request revisions, or cancel during or after the Money-Back Window. The 7-day money-back guarantee in Section 1.3 applies only to the first $199 monthly subscription fee.

1.6 Post-Cancellation Site Retention

After cancellation, your site files are retained for 30 days. During this window, you may restart your subscription at the standard rate. After 30 days, your site is permanently deleted. Restoring service after that requires a new build at the then-current build fee.


2. Subscription Fees Are Non-Refundable

2.1 General Rule

Outside the 7-day Money-Back Window in Section 1.3, all subscription fees are non-refundable, including: (a) Monthly subscription fees; (b) Pro-rated portions of monthly fees; (c) Annual prepayments (where ever offered); (d) Any other recurring charges.

2.2 No Pro-Rata for Mid-Cycle Cancellation

If you cancel after the Money-Back Window in accordance with the Terms, the subscription continues, and the Services remain available, until the end of the then-current billing cycle. You are not entitled to any refund of the unused portion of that billing cycle.

2.3 No Refund for Underuse

You are not entitled to any refund or credit because you used the Services less than expected, did not log in, did not request revisions, did not benefit commercially, did not see results in your AI visibility score, did not feel the Services were "worth it," or for any other reason of subjective dissatisfaction.

2.4 No Refund After 60 Days

You must dispute any specific charge within sixty (60) days of the charge date as provided in Section 4.6 of the Terms. After sixty (60) days, the charge is conclusively final and not subject to refund.


3. Overage Charges Are Non-Refundable

3.1 Postcard Overage (Tier 2)

Postcards sent in excess of your tier's monthly allowance (currently 100 postcards/month for Tier 2) are billed at $0.99 per postcard, capped by the overage allowance you set in your portal. Once a postcard has been sent — meaning Nxera has transmitted the print order to its print provider — the $0.99 charge for that postcard is non-refundable, including if you change your mind, identify errors in your recipient list after sending, or determine the postcard contained mistakes.

3.2 Revision Fees

Major revisions performed after Activation are billed at $99 per revision. Once Nxera has begun the revision work, the $99 fee is non-refundable, including if you change your mind about the requested change, decide a different change would have been better, or are dissatisfied with the result.

3.3 What Counts as a "Major Revision" vs. "Minor Correction"

Minor corrections — typographical fixes, small image swaps, contact-information updates, link fixes, hours updates — remain free at all times. Major revisions involve any of: rewriting more than one section, restructuring the page layout, swapping color schemes, changing site architecture, adding new pages, or any change Nxera reasonably classifies as material. Nxera classifies revisions in good faith and its classification is final.

3.4 Other Charges

All other one-time charges authorized by you are non-refundable once the corresponding work has been performed or service delivered.


4. Three-Month Minimum Term

4.1 Initial Term Commitment

Activation under Section 3.2 of the Terms starts a three (3) month minimum subscription term (the "Initial Term"). Subscription fees for each month of the Initial Term are owed in full and non-refundable, except as provided in Section 1.3 (7-day Money-Back Window) or Section 5 of this Policy.

4.2 No Cancellation During the Initial Term Outside Two Paths

The only paths out of the Initial Term are: (a) cancellation within the 7-day Money-Back Window under Section 1.3; or (b) Nxera's uncured material breach under Section 6.4 of the Terms. Outside those two paths, the subscription continues and monthly fees continue to be charged through the end of the Initial Term, even if access is unused.

4.3 No Refund After the Money-Back Window

Nxera does not refund monthly fees after the Money-Back Window in cases of:

The three-month commitment is the consideration Nxera relies on in offering the free build, the 7-day money-back guarantee, and lower monthly pricing.


5. Limited Refund-Qualifying Events

Nxera will issue a refund only in the following narrow and specifically enumerated circumstances:

5.1 Duplicate Charges

If Nxera or our payment processor erroneously charges you twice for the same billing cycle, Nxera will refund the duplicate charge once verified.

5.2 Charges After Confirmed Cancellation

If Nxera bills you for a billing cycle after a properly submitted cancellation request was acknowledged by Nxera with a written cancellation confirmation, Nxera will refund that charge.

5.3 Service Termination by Nxera for Convenience

If Nxera terminates the Services for convenience under Section 6.5 of the Terms, Nxera will refund the pro-rata unused portion of any prepaid period after the effective termination date.

5.4 Confirmed Material Breach by Nxera

If Nxera materially breaches the Terms and fails to cure within 30 days of your written notice (Section 6.4 of the Terms), Nxera will refund the most recent monthly fee for the affected billing cycle. Subjective dissatisfaction is not a material breach. Failure to achieve a particular AI visibility score is not a material breach. Disagreement with design choices is not a material breach. A failure characterized as "material" must directly result in the Services being unusable for their intended purpose for a sustained period.

5.5 Required by Law

Nxera will issue any refund mandated by applicable law that cannot be waived.

5.6 No Other Circumstances

Apart from the 7-day Money-Back Window in Section 1.3 and the events expressly enumerated above, no other event entitles you to a refund, regardless of how compelling the circumstances may appear. Nxera does not have a refund window beyond the 7-day Money-Back Window and the events listed above.


6. Disputed Charges

6.1 Notification Window

You must notify Nxera in writing of any disputed charge within sixty (60) days of the charge date. After 60 days, the charge is deemed accurate, accepted, and final.

6.2 How to Dispute

Email info@getnxera.com with subject line "Disputed Charge" and include: the charge date, the charge amount, your account email, and a description of the dispute. Nxera will respond within ten (10) business days.

6.3 No Chargebacks Without Prior Resolution

Section 4.7 of the Terms applies in full. Initiating a chargeback or payment-method dispute without first attempting in good faith to resolve the matter directly with Nxera and waiting at least 30 days after Nxera's response is a material breach of the Terms. Consequences include immediate termination, recovery of the disputed amount, a $50 chargeback-handling fee, recovery of collection costs and attorneys' fees, referral to credit bureaus and collections, and use of the chargeback as evidence in any subsequent dispute. Chargebacks do not entitle you to a refund and do not relieve you of monthly fees owed through the end of the Initial Term.


7. How Refunds Are Issued

7.1 Original Payment Method

Approved refunds are issued to the original payment method used for the disputed charge. Nxera does not issue refunds by check, ACH transfer, store credit (unless you affirmatively accept it as an alternative in writing), or any other method.

7.2 Processing Time

Refunds are typically processed within 5-10 business days but may take longer to appear on your statement depending on your bank or card issuer. Nxera is not responsible for processing delays attributable to your bank or card issuer.

7.3 Currency

Refunds are issued in U.S. Dollars. Nxera is not responsible for currency-conversion losses or fees imposed by your bank.

7.4 Set-Off

Nxera may set off any refund against any amounts you owe Nxera (including past-due subscription fees, overage charges, or any unpaid monthly fees through the end of the Initial Term).


8. Customer Content Export

8.1 During Subscription

You may request an export of Customer Content (the materials you provided to Nxera) at any time during the subscription. Nxera will provide the export within thirty (30) days of request. Exports are limited to one per quarter, and Nxera may charge a reasonable handling fee for additional or expedited exports.

8.2 Post-Termination

For thirty (30) days after termination, you may submit a one-time written request for an export of Customer Content under Section 6.6 of the Terms. After 30 days, Customer Content is permanently deleted and cannot be recovered.

8.3 Generated Website Code Not Included

The website code, design system, and AI-generated assets remain the intellectual property of Nxera under Section 8 of the Terms. Nxera does not provide a copy of the generated site code, design files, source archives, or any other artifact that would enable you to host or reproduce the Site Output outside Nxera's infrastructure. Your license to use the website ends upon termination. This rule has no exceptions and is non-negotiable.


9. No Outcome Guarantees

Section 11.2 of the Terms applies in full. Nxera does not guarantee any specific business outcome. No refund will be issued because outcomes did not meet your expectations, including but not limited to expectations regarding AI visibility scores, search rankings, lead generation, customer calls, revenue, or any other commercial metric.


10. Updates

Nxera may update this Refund Policy from time to time. Material changes will be communicated by email at least thirty (30) days before they take effect. Continued use after the effective date constitutes Acceptance. Updates do not retroactively expand refund rights for charges incurred before the update's effective date.
